The purchase agreement executed by ____________________________, represented in this act by its legal representative for suits and collections administration and domain acts, ______________ ('the seller') and by _____________________, ('the purchaser') this agreement is subject to the declarations and clauses following:
DECLARATIONS
I. 'THE SELLER' DECLARES:
a) That his/her/their nationality is/are _____________________, with full legal capacity to act in the terms and conditions of this agreement, demonstrating its legal residence in the country with the migration form _____________________.
b) (IN CASE OF LEGAL REPRESENTATIVES) That the power conferred to ____________________________, by 'THE SELLER' was notarized by Public Document number _____________________, dated _____________________, before _____________________, Notary Public, number _______ of the city of _____________________. In the same way, the legal representative declares that to this date the power conferred by that mandate has not been limited nor abrogated in any way.
c) That they/he/she are/is owner(s) of the following real state: _______________________________________________________________________________________________________________________________________________________________________________ with an approximate surface of _____________________ square meters and the following measures and boundaries: ____________________________________________________________________________________________________________________________________________________________.
d) That the real property referred in paragraph c) is free of any encumbrances and domain limitations.
II. 'THE PURCHASER' DECLARES:
a) That his/her/their nationality is/are _____________________, with full legal capacity to act in the terms and conditions of this agreement, demonstrating its legal residence in the country with the migration form _____________________.
b) (IN CASE OF LEGAL REPRESENTATIVES) That the power conferred to _____________________, by 'THE SELLER' was notarized by Public Document, number ______________, dated ______________, before _____________________, Notary Public, number ________ of the city of _____________________. In the same way, the legal representative declares that to this date the power conferred by that mandate has not been limited nor abrogated in any way.
c) That they/he/she know(s) perfectly well the real property mentioned in this agreement and the conditions of the same, and that they/he/she want(s) to formalize this Purchase Agreement, in order to acquire the real property herein mentioned.
Both parties establish the following:
CLAUSES
First. 'THE SELLER' SELLS to 'THE PURCHASER' the real property mentioned in paragraph c) of the declaration I of this agreement, that has been duly identified in that paragraph.
Second. The price of the purchase is the quantity of _____________________, that 'THE PURCHASER' is obligated to pay to 'THE SELLER' in the following way: __________________________________________________________________________________________________________________________________________________________.
Third. 'THE SELLER' shall transfer the absolute fee simple of the real property mentioned in the First clause of this agreement and shall deliver the possession of the same to 'THE PURCHASER' once they/he/she have/has paid to 'THE SELLER' the complete price established in this agreement.
Fourth. 'THE SELLER' transfers to 'THE PURCHASER' the real property herein mentioned free of any encumbrances or domain limitations, responding before them/him/her in case of eviction.
Fifth. 'THE SELLER' shall sign the Deed in the moment requested by 'THE PURCHASER'.
Sixth. Both parties declare that the consent in this agreement has been freely and voluntarily granted, so it does not exist any error, deceit, damage, bad faith, or violence that may invalidate the consent granted herein; equally, it does not exist law ignorance in the aspects regarding with the obligations assumed herein.
Seventh. 'THE PURCHASER', except the income tax that shall be paid by 'THE SELLER', shall pay the expenses, taxes and fees generated by this agreement. The definitive deed shall be executed before the Notary elected by 'THE PURCHASER'.
Eighth. If 'THE PURCHASER' fails to fulfill any of its obligations assumed in this agreement, 'THE SELLER' will be able to choose between the enforcement or the rescission of this agreement.
Ninth. The parties hereto select the jurisdiction and competence of the courts of _______________ , waiving any venue privilege to which the parties may be entitled because of their domiciles or for any other reason.
The parties read this agreement and they were informed of the significance and legal value of the same and they sign the original and a copy before the witnesses that certifies.
